Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zaixos Voice, operated by ZAIXOS at https://voice.zaixos.com and related applications, dashboards, and services (collectively, the "Service").

By accessing, registering for, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You may use the Service only if you can form a binding contract under applicable law in your jurisdiction and are not prohibited from using the Service under applicable law.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

You are responsible for your account and for all activity that occurs under it. You agree to:

• Provide accurate account information and keep it up to date where you are able to edit it
• Maintain the confidentiality of your credentials and sign-in methods
• Notify us promptly if you suspect unauthorized access to your account
• Use the Service in compliance with these Terms and applicable law

When ZAIXOS Account sign-in is enabled, authentication may be managed through the ZAIXOS identity platform. You remain responsible for activity in your Zaixos Voice workspace.

Zaixos Voice provides speech creation and related voice tools, including:

• Ready Voices speech creation
• Voice Library browsing and voice selection
• Voice Clone narration from an uploaded voice sample
• Generated audio history, downloads, and workspace features
• Usage tracking and subscription plans with monthly character allowances
• App access keys on eligible paid plans

We may modify, suspend, or discontinue features at any time. We do not guarantee that any specific voice, language, feature, or output format will remain available indefinitely.

You provide text and select a voice or Voice Clone options, and the Service creates audio output. Output quality, pronunciation, pacing, and suitability may vary based on the text, selected voice, language, and other factors.

You are responsible for reviewing generated content before use. Generated audio may not always be accurate, complete, or appropriate for your intended purpose. The Service may experience interruptions, delays, or errors.

Voice Clone requires you to confirm that you have permission to use the uploaded voice sample. You are solely responsible for obtaining consent, respecting the rights of voice owners, and complying with applicable publicity, privacy, intellectual property, and impersonation laws.

• Do not clone a person's voice without their authorization
• Do not use Voice Clone to impersonate others for fraud, deception, harassment, or unlawful activity
• Do not upload samples you do not have the right to use
• Do not attempt to bypass consent, upload safeguards

We may restrict, remove, or suspend Voice Clone access if we reasonably believe your use violates these Terms or creates legal, security, or abuse risk.

"User Content" means text, voice samples, generated output, project information, and other material you submit to or create through the Service. You retain ownership of your User Content, subject to the rights you grant below.

You grant ZAIXOS a limited, non-exclusive license to host, process, reproduce, transmit, and display User Content only as necessary to operate, provide, secure, and support the Service, enforce plan limits, and comply with law. This includes processing text and voice samples through our speech creation systems to create audio for you.

You represent that you have all rights necessary to submit User Content and that your User Content does not violate these Terms or applicable law.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe intellectual property, privacy, or publicity rights
• Upload or generate content that is unlawful, fraudulent, deceptive, harassing, abusive, or harmful
• Clone or imitate a voice without authorization
• Misrepresent generated audio as statements made by a real person without appropriate disclosure where required
• Attempt to bypass usage limits, authentication, billing controls, or security measures
• Abuse automation or shared systems in a way that degrades the Service for others
• Probe, scan, or test the vulnerability of systems without authorization
• Reverse engineer or attempt to extract source code or underlying systems except where permitted by law
• Use the Service to build or improve a competing voice product or dataset using unauthorized content

The Service, including its software, branding, logos, website, user interface, documentation, and underlying technology, is owned by ZAIXOS or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no license is granted to you in ZAIXOS intellectual property. You may not copy, modify, distribute, sell, or lease any part of the Service except as allowed by law or with our prior written permission.

Your User Content remains yours, subject to the license you grant to us to operate the Service. Rights in generated output may also be subject to third-party voice or platform terms where applicable.

Your right to use generated audio for commercial purposes depends on your plan, the nature of the content, applicable law, and any third-party rights in the underlying voices or materials. Plan features and limits are described on our Pricing page and in your account.

You are responsible for determining whether your intended commercial use is permitted and for obtaining any additional rights, licenses, or disclosures required for your project.

The Service offers subscription plans with monthly character allowances and included features. Current plan names, prices, character limits, and included features are shown on our Pricing page and in your account billing area.

• Usage is measured by characters in successfully generated text, as shown in your Usage and Billing pages
• Ready Voices and Voice Clone draw from the same monthly character allowance unless otherwise stated in the product
• Failed attempts do not count toward usage in the current implementation
• When you reach your monthly allowance, speech creation may be paused until your usage resets or your plan is upgraded through an approved plan change
• Plan changes may require contacting support unless self-service billing is enabled for your account

Paid plans may be billed on a recurring monthly or annual basis in the currency shown at purchase, plus applicable taxes where required. Checkout and payment processing for Zaixos Voice are handled through ZAIXOS Account using a third-party payment provider (currently Paddle when billing is enabled). ZAIXOS does not store full payment card numbers in the Zaixos Voice application.

By subscribing, you authorize ZAIXOS Account and the payment provider to charge your selected payment method on a recurring basis until cancellation. If a payment fails, we may suspend or limit access to paid features until payment is resolved. We may change plan prices or features with notice where required by law or your subscription terms.

Plan changes and cancellations are managed in ZAIXOS Account when self-service billing is available for your account. Otherwise, contact us at hello@zaixos.com and we will help.

You may request cancellation or plan changes by contacting us at hello@zaixos.com or through our Contact page, and through billing tools in your account when available.

Unless otherwise stated at cancellation, you may retain access to paid features through the end of the current paid billing period. Future billing stops after cancellation takes effect. Unused monthly character allowance does not roll over unless explicitly stated in your plan terms.

Refund eligibility depends on your plan, payment method, purchase timing, and applicable law. Because billing workflows may vary by account and payment provider, contact us at hello@zaixos.com for billing questions before assuming a refund is available.

Nothing in these Terms limits any non-waivable refund rights you may have under applicable consumer protection law.

We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, created security or legal risk, engaged in abuse or fraud, failed to pay applicable fees, or if we must do so to comply with law or protect the Service and other users.

You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

The Service may rely on or link to third-party services, including authentication, payment, hosting, and speech creation systems. Your use of those services may be subject to separate terms and privacy policies. ZAIXOS is not responsible for third-party services except to the extent required by applicable law.

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. ZAIXOS disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that generated audio will meet your expectations or legal requirements. Generated output should not be treated as statements, endorsements, or advice from any real person unless you have made appropriate disclosures and obtained necessary rights.

To the maximum extent permitted by applicable law, ZAIXOS and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service.

To the maximum extent permitted by applicable law, ZAIXOS's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to ZAIXOS for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), except where applicable law requires otherwise.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

You will defend, indemnify, and hold harmless ZAIXOS and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by ZAIXOS's intentional misconduct or negligence where liability cannot be excluded by law.

These Terms are governed by the laws applicable to ZAIXOS's operation of the Service, without regard to conflict-of-law principles, except where mandatory local consumer protection or other laws in your jurisdiction require otherwise.

Before initiating formal legal action, you agree to contact us at hello@zaixos.com and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, it will be handled in accordance with applicable law and competent courts or tribunals, subject to any non-waivable rights you may have under the law of your place of residence.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we may provide additional notice where appropriate. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires otherwise.
